FrameShare Terms of Service

1. Acceptance of Terms
Welcome to FrameShare ("FrameShare," "we," "us," or "our"). By accessing or using our website, platform, or services (collectively, the "Services"), you agree to these Terms of Service ("Terms"). If you do not agree, please do not use FrameShare.
These Terms form a binding agreement between you and FrameShare, Inc. ("FrameShare"). These Terms are intended primarily for licensed therapists who use FrameShare in their professional capacity but may also apply to educators, researchers, and individual users who access the Services for creative or educational purposes. Such users do so at their own discretion and responsibility.
2. Description of Services
FrameShare is a digital platform designed to support art therapy sessions, creative expression, research, and education. While FrameShare facilitates art therapy and creative practices, it does not itself provide clinical, medical, or mental health services. All therapeutic services are provided by independent, licensed professionals using FrameShare as a tool.
Users who are not licensed therapists acknowledge that FrameShare is not a medical platform and that any engagement with the Services is for personal, educational, or recreational use only.
3. Eligibility
You must be at least 18 years old to create an account or use FrameShare. By using the Services, you represent that you meet this requirement and that you have the authority to agree to these Terms.
4. Your Account
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to provide accurate and complete information during registration and to update it as needed. Notify us immediately at support@frameshare.com if you suspect unauthorized access or use of your account.
5. User Responsibilities and Prohibited Uses
You agree to use FrameShare only for lawful and appropriate purposes. You will not use FrameShare to:
- Violate any applicable law, regulation, or professional code of conduct;
- Upload, share, or distribute unlawful, defamatory, obscene, or infringing content;
- Store, transmit, or display protected health information (PHI) except in compliance with applicable privacy laws, including HIPAA (when applicable);
- Attempt to access another user's account, artwork, or data without authorization;
- Interfere with, disrupt, or attempt to gain unauthorized access to FrameShare's systems or networks;
- Use the Services to train artificial intelligence models or datasets;
- Engage in fraudulent, deceptive, or misleading behavior in connection with the Services.
FrameShare reserves the right to suspend or terminate accounts that violate these provisions.
6. User Content and Artwork Confidentiality
You retain all ownership rights to artwork, creative materials, and other content you upload or create using FrameShare ("User Content"). By using FrameShare, you grant us a limited, non-exclusive, revocable license to store, process, and transmit your content solely for the purpose of providing the Services.
FrameShare will never use, display, or share user artwork publicly without explicit, written consent. You may choose to share artwork through built-in collaboration tools, and you acknowledge that such sharing occurs at your own discretion.
We are committed to protecting the confidentiality of user artwork, session data, and communications. For users engaging in therapeutic work, all data is handled in compliance with applicable privacy laws and our Business Associate Agreement (BAA) obligations.
7. No Medical Advice
FrameShare is not a healthcare provider and does not offer medical advice, diagnosis, or treatment. Any therapeutic or clinical services conducted through the platform are the sole responsibility of the licensed professionals using FrameShare. FrameShare does not verify the qualifications of individual therapists and encourages clients to do so independently.
8. Payment and Subscriptions
Certain features of FrameShare require a paid subscription. Subscription fees are billed according to your selected plan and are non-refundable except as required by law. You may cancel your subscription at any time through your account settings. Cancellations will take effect at the end of the current billing period.
9. Intellectual Property
All intellectual property rights in the FrameShare platform, software, trademarks, and design elements are owned by or licensed to FrameShare. You may not copy, reproduce, modify, distribute, or create derivative works from the Services without our express written consent.
10. Limitation of Liability
To the fullest extent permitted by law, FrameShare and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of data, revenue, or profits, arising from your use of the Services. Our total liability shall not exceed the amount you paid to use the Services in the 12 months preceding the event giving rise to the claim.
11. Disclaimer of Warranties
The Services are provided "as is" and "as available." FrameShare makes no warranties, express or implied, regarding the reliability, availability, or suitability of the Services for any purpose. FrameShare specifically disclaims all warranties of merchantability, fitness for a particular purpose, and non-infringement.
12. Indemnification
You agree to indemnify and hold harmless FrameShare, its affiliates, officers, directors, and employees from any claim, loss, liability, or expense (including reasonable attorney's fees) arising from your use of the Services, your violation of these Terms, or your infringement of another's rights.
13. Termination
FrameShare may suspend or terminate your account at any time if you violate these Terms or if required by law. Upon termination, your access to the Services will immediately end. You may also terminate your account at any time through your account settings.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of courts located in New York County, New York, for any disputes arising from these Terms.
15. Changes to Terms
We may update these Terms periodically to reflect changes in our practices or for other operational, legal, or regulatory reasons. Any updates will be posted on this page with a new "Last Updated" date. Continued use of the Services constitutes acceptance of the revised Terms.
